1. Agreement to Terms

By accessing or using BuildAgents' website and services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services. These Terms apply to all visitors, users, and others who access or use our services.

2. Services

BuildAgents provides AI automation consulting and implementation services, including but not limited to:

• Workflow automation design and implementation
• Custom AI agent development
• System integration services
• AI consulting and strategy
• Ongoing maintenance and support

The specific scope of services will be defined in individual service agreements or statements of work.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant appropriate access to systems, data, and personnel as required
• Review and provide timely feedback on deliverables
• Ensure compliance with applicable laws regarding data and AI usage
• Make timely payments according to agreed-upon terms

4. Intellectual Property

Our Property: All proprietary tools, frameworks, methodologies, and pre-existing intellectual property used in delivering services remain the property of BuildAgents.

Your Property: Upon full payment, custom solutions developed specifically for your project will be assigned to you, unless otherwise specified in the service agreement. Your data remains your property at all times.

5. Payment Terms

• Payment terms will be specified in individual service agreements
• Invoices are due within 30 days of receipt unless otherwise agreed
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for overdue accounts

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business processes, technical specifications, pricing, and strategic plans. Confidentiality obligations survive the termination of services.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However:

• Services are provided "as is" without warranties of any kind, express or implied
• We do not guarantee specific results or outcomes from AI implementations
• We are not responsible for issues arising from third-party services or APIs
• AI systems may produce unexpected results; ongoing monitoring is recommended

8. Limitation of Liability

To the maximum extent permitted by law, BuildAgents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.

9. Termination

Either party may terminate services:

• With 30 days written notice for ongoing engagements
• Immediately if the other party materially breaches these terms
• Immediately if the other party becomes insolvent or bankrupt

Upon termination, you shall pay for all services rendered up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BuildAgents is registered, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting an update on our website. Your continued use of our services after changes become effective constitutes acceptance of the revised terms.
